Opening an LLC in Uzbekistan: a step-by-step guide for entrepreneurs

Registering a company takes only days, but this is exactly when decisions are made that are hard to change later. Here is what to pay attention to.

The limited liability company (LLC) is the most common legal form for small and medium business in Uzbekistan. The registration procedure is streamlined and in most cases takes one or two business days. But the speed is deceptive: it is the decisions made at incorporation that largely determine the company’s future.

What to decide before registering

  • The founders and their shareholdings — changeable later, but only through a separate procedure
  • The size of the charter capital and the deadline for paying it in
  • Who will be the director, and how to limit their powers
  • Business activities (some require a licence)
  • The tax regime — turnover tax or the general regime

The most common mistake is signing a template charter without reading it. With two or more founders, the relationship between them — profit distribution, the procedure for selling a share, decision-making in deadlock — should be fixed in a separate shareholders’ agreement. Otherwise the first serious disagreement can paralyse the business.

The registration procedure

The application is filed through public service centres or the birdarcha.gov.uz portal. The company name is checked, the state fee is paid, and the company is usually entered in the unified state register by the next business day. A bank account is then opened and licences obtained where required.
